Agreement and who these Terms cover
These Terms govern access to the Azybia websites, applications and related services provided by Azybia Inc., 135 Laurier Ave W, Ottawa, ON K1P 5J2, Canada. “Azybia”, “we” and “us” mean Azybia Inc.; “you” means the person using the Services and any organization they are authorized to represent.
When you accept these Terms in an account, order or activation flow, you agree to them. If you act for a firm or another organization, you must have authority to bind it. A client or invited participant is responsible for their own use; an invitation does not authorize them to bind a law firm.
The Azybia platform
Azybia provides software for legal-practice workflows. Depending on the enabled service and your plan, it may include practice websites, client intake, matters, tasks, calendars, document preparation, signatures, time recording, invoicing, accounting records, imports and client communications.
A feature shown in a demonstration, roadmap or illustration is not a promise that it is available in your account. A plan, role, connection or separate agreement may be required. A recorded payment, calendar entry or message draft does not by itself transfer money, synchronize a calendar or send a message.
Professional judgment and client relationships
Azybia is a software provider, not a law firm, legal representative, court or regulator. Using the Services does not create a lawyer–client relationship with Azybia. Your engagement agreement with a legal professional remains separate from these Terms.
You remain responsible for competence, supervision, conflicts checks, identity verification, privilege, confidentiality, deadlines, filing, advice and compliance with the rules that apply to your practice. Software reminders and name matches do not establish that a deadline or conflict has been fully identified.
Accounts and authorized users
Provide accurate account details, protect credentials and use only accounts and workspaces you are authorized to access. Firm administrators are responsible for assigning appropriate permissions, reviewing access and removing users who no longer need it.
Do not share credentials, bypass access restrictions or use another person’s invitation. Tell us promptly if you suspect unauthorized access. A local role preview is not a substitute for access controls in a connected workspace.
Demonstrations and local workspaces
Demo and local-preview features may save records in your browser rather than a shared account. Clearing browser storage, changing devices or losing access to a device can remove those records. Local exports and recovery files remain your responsibility.
Use fictional or appropriately de-identified information in demonstrations. Do not rely on a preview for production custody of confidential client records, an enforceable signing process, filing, payments or a sole backup. Review the scope of an enabled live service before using it for real matters.
Plans, subscriptions and taxes
The price, currency, billing period, included users, renewal terms and applicable taxes must be stated in the offer or order you accept. Adding seats, enabling a paid service or upgrading a plan may change the charges as disclosed before confirmation.
A free account or product demonstration does not by itself authorize charges. Cancellation, renewal and refund terms shown in your accepted order apply, subject to mandatory law. We will communicate material price changes before they apply to a renewal; they do not retroactively change an already-paid period.
Billing, payments and trust records
Invoices, time entries, tax calculations and accounting reports are tools for your review. You must verify amounts, tax treatment, allocations, reconciliations and records before relying on them or sending them to a client.
Azybia is not a bank, trustee or escrow agent. Recording client funds does not place them in a trust account or certify regulatory compliance. Where a payment connection is available, the financial provider’s terms and authorization process apply. Do not record a simulated transaction as a completed transfer.
Documents and electronic signatures
You are responsible for document content, version selection, recipients, signatory authority, required witnesses, identity assurance and any formalities that apply. Some documents or transactions require procedures that an electronic workflow cannot replace.
Review the completed document and available evidence record. Keep the original files and records your practice requires. A browser demonstration, typed name or completion indicator is not a guarantee of enforceability, identity verification, delivery or acceptance by a court or registry.
Intelligence, research and generated material
Research illustrations are prepared examples. They do not establish that live AI generation or an external research connection is active. Any enabled AI service remains subject to its disclosed scope, permissions and applicable supplemental terms.
Check facts, citations, source currency, jurisdiction, quotations and reasoning independently. Generated material can be incomplete or incorrect and must not be filed, sent or treated as professional advice without appropriate review. Do not send protected information to an external AI provider unless you have authority and have reviewed the applicable data terms.
Your content, confidentiality and permissions
You retain your rights in the material you provide. You grant Azybia only the rights reasonably needed to store, process, display and transmit that material for the Services you request, subject to applicable confidentiality and data-processing terms.
You must have authority to upload information about clients, colleagues and other people. Limit collection and sharing to what is necessary. Do not assume that a public link, export, support attachment or third-party integration is covered by the same permissions as your workspace.
Imports, exports and recovery
Review field mappings, duplicates, dates, balances and relationships before applying an import. Keep an independent copy of the source data. You are responsible for having permission to transfer it from another provider.
An import preview, export or recovery tool does not guarantee that every attachment, permission, audit record or provider-specific field is transferred. Verify the result before retiring another system, and test backups and recovery procedures appropriate to your practice.
Acceptable use
Do not use the Services for unlawful conduct, unauthorized access, impersonation, harassment, malware, spam or infringement. Do not defeat security controls, probe other workspaces, scrape private records or misrepresent automated output as verified professional work.
Do not upload information you have no right to process or use the Services to make unlawful discriminatory decisions. We may investigate misuse and take proportionate measures to protect users, records and the Services.
Third-party services and communications
A connection to an email, calendar, payment, identity, hosting or other provider is subject to that provider’s availability and terms. Connecting a service may authorize a transfer of data described in the connection flow. You can review or revoke that authorization using available controls.
Azybia is not responsible for a third party’s independent service, but this does not remove obligations that apply to Azybia’s own selection or use of service providers. Review recipients and permissions before sending or publishing information.
Azybia intellectual property
Azybia and its licensors retain rights in the software, branding, interfaces and materials they provide. Subject to your agreement and plan, you receive a limited right to use the Services for their intended purposes.
Do not resell the Services, remove proprietary notices or copy protected components except with permission or where applicable law permits it. Your feedback may be used to improve the product; it should not contain client confidences or information you cannot share.
Availability and product changes
Maintenance, technical problems and provider interruptions can affect availability. Unless a separate service-level agreement applies, we do not promise uninterrupted operation or a particular recovery time.
We may improve or change the Services. Material changes to a paid service will be communicated where required by law or your agreement. Preview and beta features may change or be withdrawn; do not rely on them as your sole operational safeguard.
Suspension, cancellation and account closure
You may stop using the Services and cancel a subscription through the available process or by contacting Azybia. Fees, access through the paid period and refunds are governed by the accepted order and mandatory law.
We may restrict access for a serious breach, a security threat, non-payment or a legal requirement. Where practicable and lawful, we will explain the reason and provide an opportunity to resolve it. Arrange authorized exports before closure; retention and deletion are addressed in the Privacy Policy and applicable data agreement.
No professional advice or guaranteed outcome
The Services assist with organization and preparation. They do not guarantee a legal outcome, complete research, a conflict-free engagement, a valid signature, collection of a debt or regulatory compliance.
To the extent permitted by law and except for express commitments in an applicable agreement, the Services are provided as available. Nothing in these Terms excludes a legal warranty or obligation that cannot lawfully be excluded.
Responsibility and limitations
Each party remains responsible for its own acts and omissions under applicable law. To the extent legally permitted, Azybia is not liable for indirect or consequential loss arising from use of the Services. Any specific financial liability limit must be set out in an applicable agreement.
These Terms do not exclude liability that cannot lawfully be limited, including liability for intentional misconduct, gross fault where applicable, or personal injury where the law prohibits exclusion. They do not waive mandatory consumer rights, privacy rights or remedies.
Governing law, disputes and language
Subject to mandatory laws that apply to you, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable there. A court with jurisdiction may hear a dispute. No mandatory arbitration or class-action waiver is imposed by these Terms.
English and French versions are available. Where Québec language requirements apply, the French version and the legally required opportunity to examine it must be provided before an express choice of another language. Selecting a website language alone is not such a contractual choice.
Changes, other agreements and contact
A signed agreement or accepted order may supplement these Terms. A specific provision governs its subject where it conflicts with a general provision, subject to mandatory law. If a provision is unenforceable, the remaining provisions continue to apply where legally possible.
We will post revisions with an updated date and provide notice or obtain agreement where required for material changes. Changes do not retroactively remove accrued rights. For contractual notices, write to Azybia Inc., Legal Notices, 135 Laurier Ave W, Ottawa, ON K1P 5J2, Canada.
