Proposed clause 4.2 The Seller shall deliver the following documents to the Purchaser before Closing, in accordance with the agreed delivery schedule.
(a) Corporate records
The current share register, articles and amendments, certified by an authorized officer of the Seller as complete and current as of Closing.
(b) Transaction materials
The executed agreement and all schedules, including the completed disclosure schedule identified in the parties’ approved document list.
(c) Changes to delivery
Any substitution of a required document or deferral of its delivery requires the Purchaser’s prior written agreement.
